Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Agnic Protocol, SDKs, or APIs. By deploying an Agent or utilizing our keys, you agree to be bound by these Terms.

1. Nature of Services

Agnic is an agentic technology and trust infrastructure company. We provide software tools and platform services for AI agents and their developers. This includes:

  • Agent Identity Tools: Issuing and managing W3C-compliant Decentralized Identifiers (DIDs) and Verifiable Credentials for AI agents.
  • AI Credit System: A prepaid software credit system allowing access to AI models and X402-gated services. Credits are software entitlements, not currency.
  • Service Discovery: A directory and gateway for developers to list and access pay-per-use software tools and APIs via the X402 protocol.
  • API Monetization Tools: Software for registering APIs and receiving credit transfers when agents consume your services.

EXPERIMENTAL TECHNOLOGYYou acknowledge that the Agnic platform is experimental software. Features may change, be unavailable, or behave unexpectedly. Agnic is an agentic technology and trust infrastructure company, not a financial services provider, payment processor, or money transmitter.

2. Agent Responsibility

You (the "Operator") are solely responsible for the actions of any Autonomous Agent utilizing your API keys or signed by your cryptographic keys.

  • Strict Liability: You accept responsibility for the actions and software credit consumption of any AI agent operating under your API keys.
  • Monitoring: While Agnic provides tools for spend caps and policy enforcement, it is your responsibility to configure and monitor these safeguards.
  • Prohibited Actions: You may not use Agnic to facilitate illegal activities, market manipulation, or denial-of-service attacks via agent swarms.

3. Software Credits and Service Fees

Access to AI models and third-party services is governed by software credit consumption. Credits are purchased in advance and applied against usage.

  • Service Fees: Third-party service providers set their own credit rates. Agnic may apply a platform fee on credit transfers between parties.

Third-Party Payment ProcessingAgnic does not process, hold, transmit, or settle payments or funds on behalf of users. All monetary transactions — including fiat payments (processed via Stripe), wallet operations (via Privy or similar custodians), and X402 protocol settlements (via designated X402 facilitators) — are handled exclusively by those third-party platforms under their own terms and regulatory frameworks. Agnic provides agentic technology and trust infrastructure that interfaces with these platforms.

Credits PolicyAI credits and service credits purchased through the Agnic platform are non-refundable and non-transferable. Credits may not be moved to other accounts, exchanged for cash or other currency, or transferred to third-party systems. Credits have no monetary value outside the Agnic platform and are valid solely for consuming Agnic software services.

4. Intellectual Property

The Agnic SDKs are open-source (MIT/Apache-2.0). However, the Agnic Platform backend, routing algorithms, and Service Registry metadata are proprietary and protected by copyright and trade secret laws.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGNIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

7. Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will provide notice through our Services, or by other means, to provide you the opportunity to review the changes before they become effective.
